Terms of Service for Northwood Wardrobe Studio

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the services, website, communications, quotations, proposals, and related offerings provided by Northwood Wardrobe Studio, located at Northwood Wardrobe Studio, 2148 Yonge Street, Toronto, ON M4P 2A9, Canada (“Northwood Wardrobe Studio,” “we,” “us,” or “our”).

By contacting us, requesting a quote, booking a consultation, placing an order, approving a design, making a payment, or otherwise engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms apply to all customers, clients, visitors, and any other persons who access or use our services in connection with custom wardrobe design, walk-in closet planning, built-in closet installation, sliding door wardrobe solutions, reach-in closet organization systems, wardrobe shelving and accessory upgrades, and space-saving storage consultation (collectively, the “Services”).

2. Scope of Services

Northwood Wardrobe Studio provides wardrobe-related design, planning, consultation, supply coordination, and installation services, which may include the following:

Any scope of work, materials, measurements, timelines, pricing, deliverables, and installation details will be set out in a quotation, proposal, estimate, work order, invoice, or written agreement issued by Northwood Wardrobe Studio. In the event of any conflict between these Terms and a signed project agreement or written order confirmation, the signed project agreement or written order confirmation will prevail to the extent of the conflict.

We may, at our discretion, refuse, suspend, or discontinue Services where a project is unsafe, impractical, incomplete in information, outside our service area, or otherwise unsuitable.

3. User Obligations and Responsibilities

You agree to provide accurate, complete, and timely information necessary for us to perform the Services, including but not limited to measurements, site access details, design preferences, budget constraints, and any relevant building, condominium, landlord, or strata requirements.

You are responsible for ensuring that:

You acknowledge that custom wardrobe and closet solutions are often made to fit specific spaces and may not be suitable for resale or reuse in another location. You are responsible for verifying that the final design meets your needs before approval.

You must not misuse our Services, interfere with our personnel, provide false information, or use our designs, materials, or communications for unlawful purposes.

4. Payment Terms and Conditions

Unless otherwise stated in a written agreement or invoice, all prices are quoted in Canadian dollars (CAD) and are subject to applicable taxes, including GST/HST where required by law.

Payment terms may include one or more of the following, as specified in your quotation or invoice:

We may suspend work, delay delivery, or postpone installation if any payment is overdue. You remain responsible for all amounts due, including any applicable interest, collection costs, bank charges, chargeback fees, or legal fees permitted by law and reasonably incurred by Northwood Wardrobe Studio in collecting overdue amounts.

Custom-made products, specially ordered materials, and design services may be non-cancellable and non-refundable once production, ordering, or design work has commenced, except where required by applicable law.

If a payment is returned, reversed, disputed, or charged back without valid cause, we reserve the right to recover the amount owed and any associated fees and costs.

5. Cancellation and Refund Policy

Because our Services often involve custom design, site-specific planning, and made-to-order components, the following rules generally apply unless a different policy is stated in your written agreement:

Refunds, if any, will be issued using the original payment method unless otherwise agreed. Refund processing times may vary depending on the payment provider and financial institution.

Any defects, shortages, or installation concerns must be reported promptly after delivery or installation so that we may assess and, where appropriate, repair, replace, or otherwise address the issue in accordance with applicable law and any written warranty terms.

6. Liability Limitations

To the fullest extent permitted by applicable law in Canada, Northwood Wardrobe Studio shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of use, loss of profits, loss of business opportunity, loss of data, or loss arising from delays, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Services, whether in contract, tort, negligence, strict liability, or otherwise, shall not exceed the amount paid by you to Northwood Wardrobe Studio for the specific Service giving rise to the claim, except where such limitation is prohibited by law.

7. Intellectual Property Rights

All designs, drawings, sketches, plans, concepts, specifications, photographs, renderings, proposals, text, graphics, and other materials created or provided by Northwood Wardrobe Studio remain our intellectual property unless expressly transferred in writing.

Upon full payment of all amounts due, you receive a limited, non-exclusive, non-transferable license to use the final approved design materials solely for the purpose of the project at the specified premises. This license does not permit resale, reproduction, publication, distribution, or use for other properties or projects without our prior written consent.

You may not copy, modify, reverse engineer, reproduce, or commercially exploit our intellectual property, branding, or proprietary methods without authorization.

If you provide us with photographs, measurements, concepts, or other materials, you represent that you have the right to share them and grant us a non-exclusive right to use them as necessary to perform the Services.

8. Data Protection and Privacy

Northwood Wardrobe Studio collects, uses, discloses, and retains personal information in accordance with applicable Canadian privacy laws, including, where applicable, the Personal Information Protection and Electronic Documents Act (PIPEDA) and any substantially similar provincial legislation.

We may collect personal information such as your name, contact details, address, project preferences, payment information, and communications related to the Services. We use this information to:

9. Force Majeure

Northwood Wardrobe Studio shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, labour disputes, strikes, supply shortages, transportation disruptions, pandemics, government actions, utility failures, civil unrest, or delays caused by third parties.

In such circumstances, we may suspend performance for the duration of the force majeure event and will use commercially reasonable efforts to resume Services as soon as practicable.

10. Changes to Terms

We may update or revise these Terms from time to time to reflect changes in our business practices, legal requirements, or operational needs. The updated Terms will be effective upon posting or upon notice to you, whichever occurs first, unless otherwise required by law.

Your continued use of our Services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our Services.

11. Applicable Law and Jurisdiction

These Terms, and any dispute, claim, or controversy arising out of or relating to them or the Services, shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising from or related to these Terms or the Services, subject to any mandatory consumer protection rights or alternative dispute resolution requirements that may apply under Canadian law.

13. Severability Clause
